1. Introduction.

These Terms and Conditions govern your use of any of the following services: StrangerPerks, operated by Index Newspapers LLC dba The Stranger. The service used by you is referred to as the “Service” in these Terms and Conditions.

These Terms and Conditions are a binding agreement between you and the entity designated above as the operator of your Service. That entity is referred to as the “Operator” in these Terms and Conditions. Index Newspapers LLC (“Index”) is the Operator of certain of the Services, as indicated above, and also provides various administrative services to the other Operators.

With the Service, you may purchase “Deals.” In a Deal, you will receive a voucher (“Voucher”) that may be redeemed for goods, services, food and/or beverages at a business (“Merchant”) named on the Voucher. The Deal will entitle you to a value of goods, services, food and/or beverages greater than the amount you pay for the Deal, subject to these terms and conditions.

These Terms and Conditions govern the purchase of any Deal on the website for the Service and your rights as purchaser of the Deal. If you do not agree with or are not able to comply with these Terms and Conditions, you may not purchase any Deal, and we ask that you leave the Service website.

2. Eligibility.

You must be 18 years of age at the time you purchase any Deal.

3. Use of Your Information.

Operator and Index will process your order, including your credit card information, using secure encryption technology. We will not retain your credit card information for any purpose. We will use your email address and other personal information only in connection with the operation of the Service. In addition, we provide each Merchant with the email address of each purchaser of a Deal with that Merchant. We do not restrict Merchants’ use of purchasers’ email addresses. You agree that the contents of any communication between you and the Operator and/or Index are not confidential and may be used by the Operator and/or Index as they see fit.

4. Links.

The website for the Service may link to websites of the Merchants for deals and other third parties. Neither the Operator nor Index has any control over the contents of those linked websites; Neither Operator nor Index is responsible for the accuracy of any information on those websites or for the fulfillment of any promise on those websites.

5. Deal Terms and Conditions.

--Website Descriptions. Each Deal will be described on the Website for the Service. The description of the Deal on the Website will contain additional terms and conditions for that Deal.

--Issuance of Voucher. When you purchase a Deal, you will receive a Voucher by email, for print-at-home delivery, or by hard copy in US Mail. The Voucher may contain additional terms and conditions for that Deal. You must present the Voucher to the Merchant to get the Deal. Neither the Operator, nor the Merchant, nor Index is responsible for lost or stolen Vouchers.

--Paid Value and Promotional Value. The value of the Voucher will have 2 components: a part representing the amount you pay for the Deal, referred to as the “Paid Value,” and a part representing the value of the Deal in excess of the Paid Value, referred to as the “Promotional Value.” You may redeem your Voucher for the Merchant’s goods, services, food and drinks, as applicable, having a value equal to the sum of the Paid Value and the Promotional Value.

--Expiration Dates. Unless otherwise printed on the Voucher, the Paid Value never expires, and you can always use the Voucher for the Paid Value’s worth of the Merchant’s goods or services. The Promotional Value, however, will expire on the Expiration Date associated with that Deal and shown on the Voucher. For Deals for events and performances, both the Paid Value and the Promotional Value will expire on the date of the event or performance.

--No Cash Value. The Voucher has no cash value, and may only be used for redemption with the Merchant for a Deal.

--Under-Purchases; Cash Back/Credit Back. You will be entitled to receive cash back from the Merchant to the extent you redeem the Voucher for less than the Paid Value (an “Under-Purchase”), unless your Under-Purchase is $5 or more. In that case, the Merchant may choose to give you cash back or credit back. No cash or credit will be given back for Under-Purchases of the Promotional Value.

For example, if the Paid Value of a Voucher is $20 and the Promotional Value of that Voucher is $20, the Voucher may be redeemed for up to $40 of the Merchant’s goods, services, food and/or beverages (subject to restrictions for taxes, gratuities, alcoholic beverages or other items specific to that Deal and shown on the Website or Voucher); if your total purchase price is $50, you can redeem the Voucher for $40 and pay the remaining $10 with your own funds; if your total purchase price is $35, you can redeem the Voucher for $35, but will receive no cash or credit back; if your total purchase is $18, you can redeem the Voucher for $18, and will receive $2 back in cash from the Merchant for your Under-Purchase; and if your total purchase is $14, you can redeem the Voucher for $14 and receive $6 back in cash or in credit for your Under-Purchase, as chosen by the Merchant.

--Alcohol. Use of the Voucher for alcoholic beverages is subject to state law and the Merchant’s policies.

6. When the Merchant Does Not Honor.

If the Merchant does not honor the Voucher in accordance with these Terms and Conditions, please notify the Operator within 30 days. You agree to provide the Operator with complete and accurate information concerning the problem. The Operator will attempt to reconcile the situation and, among other things, may refund the Paid Value to you.

7. Responsibility for Goods and Services.

The Operator is responsible for the sale of the Deal and issuance of the Voucher to you, but neither the Operator nor Index is responsible for the goods, services, food or drink of the Merchant. The marketing and sale of Deals and Voucher and the administration of the Service do not make the Operator or Index responsible for the quality of the goods and services for which you use the Voucher, or for any injury or damage you experience caused by or incurred in connection with the goods and services, food or drink purchased with a Voucher. Neither the Voucher, nor the descriptions of any Deal on the Service’s website constitutes a warranty or promise of any kind by the Operator or Index concerning the quality of the goods and services.

8. Change of Terms; Termination.

These Terms and Conditions may be changed at any time by the Operator, and the changed Terms and Conditions will be applicable to any Voucher purchased after the change. The Operator may terminate the Service at any time. Your Voucher will continue to be redeemable in accordance with its terms after any termination.

9. Arbitration.

Any dispute arising under these Terms and Conditions or otherwise in connection with the Service shall be subject to binding arbitration. The arbitration will be conducted in the State where the Operator’s principal office is located, in accordance with the Commercial Arbitration Procedures of the American Arbitration Association, as supplemented by the Consumer-Related Disputes Supplementary Procedures.
